  • Entity Formation: There are a variety of tax, corporate and other governance considerations when deciding whether to operate as a corporation, limited liability company, partnership, sole proprietorship or other entity.  We regularly  advise our clients on the choice of entity that will most appropriately fit their current and anticipated future situation, and the preparation of the corresponding organizational and governance documents.
  • Agreements between Owners: Agreements between owners of a business entity help define expectations, clarify rights and obligations, establish ground rules for the business operations, address issues relating to transitions in ownership and other governance issues.  Our vast experience allows us to provide practical advice in structuring, drafting and negotiating agreements between owners.
  • Corporate Governance: We offer significant experience in counseling the board of directors of private and public companies on corporate governance matters, including corporate compliance programs, codes of conduct and responsibilities of directors and officers. We also assist clients in conducting internal investigations.
