Mergers and Acquisitions Attorney

McGrath North is seeking  a lateral attorney to join McGrath North’s growing mergers and acquisitions team in Omaha, Nebraska. The ideal candidate has two or more years of transactional M&A experience in a law firm or as in-house counsel. Prior experience should include conducting and managing due diligence, drafting and negotiating transactional documents, handling closings of acquisitions and divestitures and managing post-deal integration. Broad experience in a variety of corporate transactional matters preferred, including drafting governance documents for various entity structures, providing corporate governance advice and negotiating complex commercial contracts. Candidates must have excellent legal research, writing and analytical skills, a record of academic achievement, and be self-starters who are able to work within a team environment and on their own. Candidates should expect and be comfortable with direct client interaction and advice. Professional & Support Staff

Corporate Paralegal

We are seeking an experienced, highly organized, and detail-oriented Corporate Paralegal to join our growing law firm. The successful candidate will provide substantive legal support to attorneys in corporate, transactional, and commercial matters, including entity formation and maintenance, corporate governance, contract review, due diligence, regulatory compliance, and legal research.

This position offers an excellent opportunity to work closely with attorneys and clients on sophisticated business matters in a collaborative and fast-paced legal environment.

Responsibilities

  • Assist attorneys with entity formations, dissolutions, mergers, conversions, reorganizations, and foreign qualifications.
  • Prepare and maintain corporate records, minute books, organizational documents, resolutions, consents, and shareholder and board meeting materials.
  • Draft and review corporate governance documents, including bylaws, operating agreements, shareholder agreements, and corporate resolutions.
  • Conduct legal and factual research utilizing Westlaw, LexisNexis, and other legal research platforms.
  • Support mergers, acquisitions, financing transactions, and other corporate transactions by coordinating due diligence reviews and managing transaction documents.
  • Draft, review, proofread, and organize commercial contracts and related legal documents.
  • Prepare and file business entity documents with state agencies and regulatory authorities.
  • Assist with UCC searches and filings, securities-related filings, and other corporate compliance matters, as applicable.
  • Coordinate with clients, government agencies, accountants, lenders, and outside professionals regarding corporate transactions and regulatory requirements.
  • Maintain document management systems and ensure accurate organization of client files and transaction records.
  • Track filing deadlines, annual reports, licensing requirements, and other compliance obligations.


Qualifications and Education

Required

  • Paralegal certificate, associate degree, bachelor's degree, or equivalent combination of education and experience.
  • Minimum of three (3) years of corporate, business, transactional, or commercial law paralegal experience in a law firm or corporate legal department.
  • Experience supporting business formations, corporate governance matters, commercial transactions, and contract management.
  • Excellent written, verbal, and interpersonal communication skills.
  • Exceptional organizational skills and attention to detail.
  • Ability to manage multiple priorities and meet deadlines in a fast-paced environment.
  • Strong legal research and analytical skills.
  • Proficiency in Microsoft Office Suite, including Word, Excel, Outlook, and Adobe Acrobat.


Preferred

  • Experience with UCC filings, entity management, and corporate compliance matters.
  • Familiarity with mergers and acquisitions, financing transactions, and securities-related matters.
  • Experience with document management systems such as NetDocuments, or similar platforms.
  • Experience using Westlaw, LexisNexis, or comparable legal research tools.
